General terms and conditions Noordkade Uitjes

 

Article 1 - Definitions

In these Terms and Conditions, the following terms shall have the following meanings:
- Activity: any activity, package, event, or service offered by Noordkade Uitjes , whether or not in collaboration with third parties.
- Terms and Conditions: these terms and conditions of Noordkade Uitjes.
- Booking: any reservation, whether made online or confirmed by acceptance of a quote.
- Customer: the individual or legal entity that makes a Booking with Noordkade Uitjes.
- Participant: any person who participates in an Activity or is present on the premises of Noordkade Uitjes.
- Agreement: the agreement between Noordkade Uitjes and the Customer regarding participation in an Activity.
- Quote: a written offer from Noordkade Uitjes to the Customer.
- Participant Declaration: a participant declaration to be completed and signed by a Participant, if applicable.
- Sweepstakes: a promotional campaign organized by Noordkade Uitjes .
- Cancel: the complete cancellation of the Booking without setting a replacement date.
- Reschedule: changing the date/time of the Booking at the Customer’s request.
See Article 5 for the terms and conditions regarding cancellation and rescheduling.

Article 2 - Applicability

2.1 These Terms and Conditions apply to any legal relationship between Noordkade Uitjes and the Customer and/or Participant.
2.2 By entering the premises or participating in an Activity, the Participant agrees to these Terms and Conditions, even if the Participant did not make the booking themselves.
2.3 Noordkade Uitjes is entitled to amend these Terms and Conditions. The Customer may file a written objection within ten business days of notification. If no objection is filed, the amendments are deemed to have been accepted.
2.4 If any provision of these General Terms and Conditions is void or is declared void, the remaining provisions shall remain in full force and effect.
2.5 The applicability of the Customer’s purchasing terms or other terms and conditions is expressly rejected.

Article 3 - Realization of agreement and reservation

3.1 The Agreement is concluded as soon as the Customer places a Booking or accepts a Quote, or as soon as participation in an Activity begins.
3.2 Once the Booking is made, the Agreement is final. Noordkade Uitjes will send a confirmation via email. If the Customer does not receive this, they should first check their spam folder and then contact Noordkade Uitjes.
3.3 Additional agreements or commitments are binding on Noordkade Uitjes only if they have been confirmed in writing.
3.4 The right to participate in an Activity is personal and non-transferable. The Customer is not permitted to use the Agreement for commercial purposes.
3.5 If there is a discrepancy between the provisions of these General Terms and Conditions and those of any participant declaration, the provisions of the participant declaration shall always prevail.

Article 4 - Price and payment

4.1 All prices quoted by Noordkade Uitjes are per Participant, unless otherwise stated. Prices on the consumer pages of the website and in quotes include VAT. Prices on the business pages of the website exclude VAT, unless expressly stated otherwise.
4.2 Full prepayment is required for individual reservations. Payment is made directly online at the time of booking. Noordkade Uitjes reserves the right to deviate from this policy in exceptional cases.
4.3 For business reservations, payment by invoice is possible. The invoice will be sent no later than one week after the reserved activities have taken place and must be paid within the agreed-upon payment term.
4.4 Gift cards and vouchers are valid exclusively for Noordkade Uitjes activities and not for restaurants, bars, or third parties. They are not redeemable for cash and may not be combined with other promotions or discounts. A maximum of 1 gift card or voucher per reservation.
4.5 If additional administrative steps are required for payment (e.g., e-invoicing via external systems), Noordkade Uitjes will charge a setup fee of €75, excluding VAT.
4.6 If the Customer fails to pay on time, the Customer will owe statutory interest and extrajudicial collection costs.
4.7 If external parties pass on price changes or surcharges after the Booking, Noordkade Uitjes reserves the right to pass these on to the Customer. This will always be coordinated with the Customer in advance.

Article 5 - Cancellation, modification and relocation

5.1 Cancellations or changes must always be submitted in writing via email, quoting the reservation number. A cancellation is only valid once Noordkade Uitjes has confirmed receipt in writing. Without such confirmation, the reservation remains unchanged.
5.2 In the event of a rescheduling, the cancellation policy remains fully in effect, with the original reservation date serving as the basis.

Groups up to 10 persons

  • You may cancel or reschedule free of charge up to 96 hours before the Start Time (= the date listed in the confirmation).
  • Cancellation within 96 hours before the start is 50% of the invoice amount due.
  • Changing the number of participants: The number of participants can be changed up to 96 hours before the start of the event.

Groups from 10 persons

  • Up to 31 days before arrival: cancellation or rescheduling is completely free of charge.
  • 30 to 4 days before arrival: 25% of the invoice amount due.
  • Within 96 hours before arrival: 50% of the invoice amount due.
  • Major changes: (+10 people) can be made free of charge up to 31 days before the start of the event.
  • Minor changes: (-10 people): Changes can be made free of charge up to 4 days before the start of the event.

In case of relocation, the cancellation conditions remain valid with respect to the original booking date

Any costs charged by external parties (such as catering or activity partners) will be charged to the Customer on a one-to-one basis. These costs may include room rental, catering, outside activities or hired staff. Our partners include but are not limited to....

  • Cinema Industry
  • Canal tour 'Water tasting', Electric Steps, Sups

Also costs of partners not mentioned above will be charged one on one in case of cancellation.

5.3 If, on the day of the Activity, fewer Participants are present than were reserved for, the full cost for the reserved number will still be charged.
5.4 If Noordkade Uitjes cancels the Agreement due to force majeure (see Article 12), the Customer’s payment obligation is waived, and any payment already made will be refunded or converted into a gift certificate.
5.5 The statutory right of withdrawal does not apply, as the services relate to leisure activities with a specific date or period (Article 6:230p(e) of the Dutch Civil Code).

Article 6 - Participation and liability

6.1 Participation in Activities is at your own risk.
6.2 Participants must be in the required physical and mental condition. Noordkade Uitjes may refuse participation if, in its judgment, there is insufficient fitness or safety.
6.3 Noordkade Uitjes ’ obligation is one of best efforts; no guarantee of results is provided.
6.4 Noordkade Uitjes is not liable for loss, theft, or damage to the property of Customers or Participants.
6.5 Noordkade Uitjes ’ liability is limited to the amount paid out by its liability insurer in the relevant case, plus any applicable deductible.
6.6 Noordkade Uitjes is not liable for indirect damages, consequential damages, lost profits, or damages arising from third-party claims.
6.7 The Customer and Participants indemnify Noordkade Uitjes against claims by third parties related to their participation in an Activity or their presence at the location.
6.8 For certain activities, food and beverage services, and other services, Noordkade Uitjes collaborates with external partners. The relevant partner is solely responsible for the provision of these services. Any complaints or liability claims regarding the provision of these services must, in principle, be handled directly with the relevant partner, unless the damage results from a failure attributable to Noordkade Uitjes .
6.9 Participants must arrive on time at the Noordkade Uitjes location, as specified in the reservation confirmation.
If Participants arrive late, this may result in a reduction of the reserved playtime or activity duration. In such cases, Noordkade Uitjes is not obligated to extend the activity or provide any refund.

Article 6A: Outdoor and High-Risk Activities

6A.1 Applicability.
This section applies to activities carried out in whole or in part by an external service provider and to activities involving increased safety risks, including rappelling, climbing, and similar activities.

6A.2 Request and Final Booking
A request, price estimate, or quote for an off-site activity does not guarantee that the activity is available.
The booking is not final until:
a. the customer has agreed in writing to the quote and terms and conditions;
b. the service provider has confirmed the date and details of the activity; and
c. Noordkade Uitjes has sent the final booking confirmation to the customer in writing.

6A.3 Service Provider
The external party that conducts the activity is listed in the quote or booking confirmation.
The abseiling activity is conducted by PROF TRAINING CENTER. The executing partner is responsible for the operational execution, the equipment used, the safety instructions, supervision, the deployment of instructors, and the assessment of whether a participant can safely take part. Noordkade Uitjes handles the request, communication, planning, and any invoicing, as stated in the quote.

6A.4 Safety Instructions
Each participant is required to:
a. fully follow the safety instructions;
b. to follow the instructors’ instructions immediately;
c. use safety equipment as prescribed;
d. refrain from any actions that could endanger themselves or others; and
e. to discuss any relevant physical or other limitations confidentially with the instructor in charge prior to participation.

The customer is responsible for ensuring that all participants are informed of these obligations in advance.

6A.5 Refusal or Termination of Participation
The organizing partner and Noordkade Uitjes may refuse a participant or terminate their participation if:
a. instructions are not followed;
b. the participant is under the influence of alcohol, drugs, or other substances;
c. the participant’s behavior poses a risk;
d. the participant fails to meet the participation requirements communicated in advance; or
e. the operating instructor deems participation unsafe.

If the refusal is due to a circumstance attributable to the customer or participant, that participant is not entitled to a refund.

6A.6 Normal Risks
The customer and participants understand that participating in an activity such as rappelling involves normal and foreseeable risks, even when the activity is conducted with due care. Participants are personally responsible for following instructions and for behavior within their own control. This provision does not exclude any liability that cannot be excluded under mandatory law.

6A.7 Changes or Cancellations Due to Safety and Circumstances
The operating partner may modify, postpone, or cancel the activity if, in its professional judgment, conducting the activity is not safe or responsible. This includes, but is not limited to, unsuitable weather conditions, technical malfunctions, issues with the location or anchor points, illness of qualified instructors, and government regulations. In such cases, Noordkade Uitjes will first offer an alternative date. If a suitable alternative date cannot be agreed upon, the amount paid for the canceled activity will be refunded. Other costs incurred by the customer or participants will not be reimbursed, to the extent permitted by law.

6A.8 Liability
The executing partner is liable for damages resulting from a fault attributable to it in the operational execution of the activity. Noordkade Uitjes is liable for damages only to the extent that such damages can be attributed to Noordkade Uitjes under the law or the agreement. Liability for indirect damages, including consequential damages, lost income, lost savings, and costs of substitute activities, is excluded to the extent permitted by law. If Noordkade Uitjes is liable, such liability is limited to the amount paid out by its liability insurance in the case in question, plus the applicable deductible. This limitation does not apply if it is not permitted under mandatory law or if the damages result from willful misconduct or deliberate recklessness on the part of Noordkade Uitjes management.

6A.9 Reporting Incidents
Incidents, injuries, and damage must be reported as soon as possible to the instructor on site and to Noordkade Uitjes . The customer and participants shall cooperate reasonably in documenting and investigating an incident and in handling the matter with the relevant insurers.

6A.10 Minors
Minors may participate only if this is expressly permitted in the quote and their legal guardian has given prior consent. The organizing partner may impose additional requirements regarding age, height, weight, and participation.

Article 7 - House rules and rules of conduct

7.1 Participants must strictly follow instructions from staff members.
7.2 It is prohibited to bring dangerous objects or substances, alcohol, drugs, or your own food.
7.3 Video surveillance and bag checks may take place in and around the venue.
7.4 Service dogs are permitted provided valid identification is presented.
7.5 Noordkade Uitjes reserves the right to deny entry or terminate participation in the event of a disturbance, misconduct, or violation of the rules.
7.6 Escape room solutions and game content must remain confidential.
7.7 Damage , soiling, theft, or vandalism.
Damage, soiling, theft, or destruction to or of Noordkade Uitjes property, or to the building and its contents, will be fully charged to the person responsible.
Damage and contamination include: soiling of rooms, furniture, or game components (for example, by urination, defecation, or other forms of contamination), as well as theft or the removal of property such as beverage bottles, decorative materials, or materials needed for activities.
If the person responsible cannot be immediately identified, the damage may be recovered from the Customer or the group’s responsible supervisor.

Article 8 - Children's parties

8.1 For children’s parties, the group may consist exclusively of children aged 15 or younger.
8.2 Special rates apply only on weekdays until 5:00 p.m.
8.3 Children’s parties are always supervised by a Noordkade Uitjes staff member.
8.4 If adults participate as chaperones, the regular adult rate applies.

Article 9 - Privacy and personal data

9.1 Noordkade Uitjes processes personal data in accordance with the General Data Protection Regulation (GDPR).
9.2 Where permitted by law, personal data may also be used to send newsletters and promotional offers. The Customer may opt out of these at any time by using the unsubscribe link or by contacting Noordkade Uitjes.
9.3 During Activities, video and/or audio recordings may be made for promotional or safety purposes.
9.4 Camera footage is retained for a reasonable period of time and may be provided to third parties, including law enforcement and judicial authorities, in the event of incidents.

Article 10 - Hospitality

10.1 Alcoholic beverages are served exclusively to individuals 18 years of age or older.
10.2 Bringing your own food or drinks is not permitted, with the exception of water or medically prescribed dietary foods.
10.3 Vouchers and discount promotions are not valid for food and beverage services or dinners.

Article 11 - Lost and found

11.1 Lost and found items must be turned in to Noordkade Uitjes staff.
11.2 Items of minor value may be donated to a charity after a certain period of time.
11.3 Valuable items that are not claimed within one week may be turned over to the municipality.
11.4 Costs for storage or return are the responsibility of the owner.

Article 12 - Force Majeure

12.1 “ Force majeure” means any circumstance that prevents the performance of the Agreement and that cannot reasonably be attributed to Noordkade Uitjes .
12.2 This includes, among other things: fire, strikes, government measures, power outages, pandemics, epidemics, and extreme weather conditions (such as a KNMI Code Red). Code Yellow does not constitute force majeure.
12.3 In the event of force majeure, Noordkade Uitjes will first offer to reschedule the event. If the Customer does not accept this, a refund will be issued in accordance with the applicable policy. If the force majeure continues for more than 14 days, Noordkade Uitjes may terminate the Agreement.

Article 13 - Final provisions

13.1 These Terms and Conditions are governed exclusively by Dutch law.
13.2 Disputes shall be submitted to the competent court in ’s-Hertogenbosch.
13.3 These Terms and Conditions supersede all previous versions. For Agreements already entered into, the version in effect at the time the Agreement was entered into shall continue to apply.
13.4 These General Terms and Conditions apply exclusively to Noordkade Uitjes / The Space B.V. and not to any partners (such as restaurants or other providers).
